2. Permitted Use and AI-Specific Restrictions

You may use this Site for lawful purposes only. Because DARTECH operates as an advanced artificial intelligence and digital solutions provider, you are subject to strict conditions regarding automated usage and system integrity. You explicitly agree not to:

  • Automated Data Extraction & Scraping: Use any robot, spider, crawler, scraper, data mining tool, data gathering or extraction tool, or any other automated device, program, script, or methodology to access, acquire, copy, monitor, or scrape any portion of the Site, its content, underlying datasets, or metadata.
  • Reverse Engineering: Reverse engineer, decompile, disassemble, or attempt to derive the source code, underlying algorithms, core parameters, structural mechanics, or weights of any AI models, proprietary tools, or interactive software exposed on or through the Site.
  • Model Training Prohibitions: Use any content, text, data, outputs, media, or architectural benchmarks derived from the Site to train, fine-tune, develop, complement, or validate competitive machine learning models, artificial intelligence frameworks, or data analytics products.
  • Malicious Inputs & Prompt Attacks: Upload, inject, or transmit any viruses, Trojan horses, worms, or prompt-injection attacks designed to bypass system safety filters, exploit model vulnerabilities, execute jailbreaks, cause unexpected model behavior, or compromise the operational security of our AI services.
  • Unauthorized Access & Interference: Attempt to gain unauthorized access to any restricted part of the Site, associated servers, hosting networks, cloud environments, or databases linked with DARTECH, or interfere with the proper responsiveness and standard operations of the Site.

DARTECH reserves the ultimate right to restrict, suspend, or terminate your access to the Site at any time, without prior notice or liability, for conduct that we believe violates these Terms, infringes proprietary rights, or compromises platform security.

3. Intellectual Property Rights

All content on this Site—including text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, artwork, computer code, and software (collectively, "Content")—is owned, controlled, or licensed by or to DARTECH, and is protected by copyright, patent, trademark, trade secret, and various other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, and revocable license to access and view the Site for personal, non-commercial informational purposes.   • User Inputs: You retain ownership of any text prompts, query parameters, datasets, or media you input into our interactive tools ("Input"). You grant DARTECH a worldwide, royalty-free, non-exclusive, perpetual, and irrevocable license to host, store, process, replicate, and analyze your Input solely to generate the requested response and to maintain, optimize, and train our proprietary artificial intelligence models and core technical assets, strictly subject to our Privacy Policy.
  • AI-Generated Outputs: Any automated responses, text, analysis, or assets generated by our interactive widgets ("Output") are provided to you "as is". You acknowledge that due to the stochastic nature of machine learning, Outputs may not be unique across separate users and may occasionally be factually incorrect, incomplete, or structurally flawed. You assume all risk, responsibility, and liability arising from your reliance on or utilization of any Output.
  • Prohibited Output Generation: You agree not to use any interactive tools or AI widgets on the Site to generate, attempt to generate, or encourage the generation of content that is defamatory, obscene, harmful, hateful, infringing on third-party intellectual property, or otherwise illegal.

5. Services, Inquiries, and Separate Commercial Agreements

DARTECH provides premium digital marketing, strategic consulting, and custom enterprise AI-driven infrastructure. The informational assets, promotional write-ups, and model previews hosted on this public website are intended exclusively for informational purposes and do not represent a binding contract or definitive commercial offer. Specific client engagements, production software-as-a-service (SaaS) access, data processing addenda (DPAs), and corporate service level agreements (SLAs) are governed exclusively by distinct, fully executed written corporate contracts—such as a Master Services Agreement (MSA)—mutually signed between DARTECH and the respective commercial enterprise.

6. Disclaimers of Warranties

THE SITE AND ALL INTEGRATED CONTENT, INTERACTIVE TOOLS, AND AUTOMATED OUTPUTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE JURISDICTIONAL LAW, DARTECH EXPLICITLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND FACTUAL ACCURACY. DARTECH DOES NOT WARRANT THAT THE SITE WILL OPERATE UNINTERRUPTED, SECURELY, OR ERROR-FREE, THAT THE AI ENGINES WILL RENDER ABSOLUTELY ACCURATE OR RELIABLE RESULTS, THAT MODEL "HALLUCINATIONS" OR INACCURACIES WILL NOT OCCUR, OR THAT THE SITE OR ITS ASSOCIATED SERVERS ARE COMPLETELY FREE OF VIRUSES OR MALICIOUS PACKAGES. YOUR DEPENDENCE ON AND USE OF THE SITE IS SOLELY AT YOUR OWN RISK.

7. Limitation of Liability and Direct Damages Cap

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DARTECH, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, LICENSORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES—INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, INTELLECTUAL USE, GOODWILL, OR OTHER INTANGIBLE LOSSES—ARISING OUT OF OR RELATING TO YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SITE, CONTENT, OR OUTPUTS, EVEN IF DARTECH HAS BEEN PREVIOUSLY ADVISED OF THE POTENTIAL FOR SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, DARTECH'S AGGREGATE LIABILITY FOR ALL CLAIMS OF ANY NATURE ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE SITE, OR INTERACTIVE OUTPUTS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR OTHERWISE, SHALL BE STRICTLY LIMITED TO AND SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).

8. Indemnification

You agree to indemnify, defend, and hold harmless DARTECH and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, obligations, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) your violation of these Terms; (ii) your misuse of the Site; (iii) any Input you provide to the Site; or (iv) your violation of any third-party rights, including intellectual property or privacy rights.

9. Third-Party Links and Resources

The Site may contain hypertext links to independent third-party websites, applications, or external services. These hyperlinks are provided solely for user utility and informational convenience. DARTECH does not govern, endorse, audit, or assume responsibility for the content, privacy structures, ongoing operational practices, or IT security of any external third-party services. Accessing external links is strictly at your own financial and data risk, and you waive any claims against DARTECH regarding external online resources.

10. Privacy Policy Integration

Your privacy is highly valued. Your access to and utilization of the Site is strictly conditioned upon your acceptance of and compliance with the DARTECH Privacy Policy, which is explicitly incorporated into these Terms by this reference. 11. Dispute Resolution: Governing Law, Mandatory Arbitration, and Class Action Waiver

Please read this section carefully, as it significantly impacts your legal rights, including your right to commence a conventional lawsuit in a court of law.

a. Governing Law

These Terms and any disputes or claims arising out of or related to them shall be governed by, construed, and enforced in accordance with the internal laws of the State of Texas, United States, without giving effect to any principles of conflict of laws.

b. Mandatory Binding Arbitration

Except for small claims court actions or attempts to seek emergency injunctive relief regarding intellectual property theft or security breaches, you and DARTECH agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Site through binding, individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The formal arbitration venue shall be Houston, Texas, and proceedings shall be executed in the English language. You have the right to opt out of this mandatory arbitration provision within thirty (30) days of your first use of the Site by sending a written notice of your decision to opt out to info@dartech.ai with the subject line "Arbitration Opt-Out." If you do not opt out within this 30-day window, you are bound to arbitrate disputes.

c. Class Action Waiver

YOU AND DARTECH AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, JOINT, OR REPRESENTATIVE PROCEEDING. The appointed arbitrator may not consolidate more than one person's claims or preside over any form of a representative or class proceeding.

12. Modifications to Terms

DARTECH reserves the complete right to modify, amend, adjust, or completely replace these Terms at any time by posting the revised document directly to this page and updating the "Last Updated" date at the top of the text. Any adjustments become legally binding and effective immediately upon posting. Your continued utilization of or interaction with the Site following the publication of changes signifies your formal acceptance of the modified Terms.
